Why Every Website Needs a Terms of Service Agreement

A Terms of Service (ToS) agreement โ€” also called Terms and Conditions or Terms of Use โ€” is a legal contract between you and your website visitors or application users. It defines the rules users must follow when accessing your platform, protects your intellectual property, limits your liability, and establishes the legal framework for your relationship with users.

Without a ToS, you have no legal basis to remove abusive users, no protection if users misuse your service, and no clear statement of ownership over your content. Courts have upheld ToS agreements as binding contracts when users are given clear notice and the opportunity to accept or decline the terms.

For SaaS products, e-commerce stores, and marketplace platforms, the ToS is especially critical. It governs payment disputes, refund expectations, account suspension procedures, and liability limits. Many payment processors and app stores (Apple App Store, Google Play) require a ToS before your app can be listed.

What to Include in a Terms of Service

  • Acceptance of Terms โ€” How users agree (clickwrap, scrollwrap, browsewrap) and what agreeing means.
  • Description of Service โ€” What your website or app does and any limitations on use.
  • User Responsibilities โ€” Prohibited behaviors, acceptable use policies, and content standards.
  • Intellectual Property โ€” Who owns the content, what license you grant users, and what rights you retain.
  • Limitation of Liability โ€” Caps on damages you owe users if something goes wrong.
  • Governing Law โ€” Which jurisdiction's laws apply and where disputes will be heard.
  • Changes to Terms โ€” How and when you can update the ToS and how users will be notified.
